Effective date: [Month Day, Year]
These Terms are an agreement between you and [StudSheet LLC], a New Jersey company ("StudSheet", "we", "us"). They cover the StudSheet apps, the web app at app.studsheet.com, the website at studsheet.com, the calculators other websites embed, and StudSheet's connector for ChatGPT and Claude (together, "StudSheet"). StudSheet is offered to people in the United States and Canada.
StudSheet is made by IONIAN Digital. While we test it with early users, the apps are published under IONIAN Digital's App Store and Google Play accounts.
By using StudSheet you agree to these Terms, our Privacy Policy and our Community Rules. If you don't agree, please don't use StudSheet.
You must be 13 or older to use StudSheet, and 14 or older to create an account, join the community or send a quote request, wherever you live.
To use Pro tools for a business, answer quote requests, take payments or invite a crew, you must be 18 or older and able to make contracts for that business.
If you are under 18, a parent or guardian must read and agree to these Terms for you.
If we learn that someone under 14 has an account, we delete it.
You may not use StudSheet if U.S. law bars you from doing so.
A Sheet is a plan to help you think a job through. It is not an engineering design, an inspection, a building permit, or professional advice.
Sheets are only as good as the numbers you enter. Measure twice.
Rooms, materials, products and local rules vary. Quantities are estimates. Check them before you buy.
Calculators can contain mistakes. A calculator marked "Verified" has been reviewed by a licensed pro, but it is still an estimate.
Helpers that read or measure for you are close, not exact: a room scan, a receipt the app reads, a measurement taken on a plan, a paint color shown on a photo. Check what matters with a tape, the paper receipt, the plan's own dimensions or a paint sample before you order or pay.
Weather warnings come from a public forecast and general rules. Forecasts change, and the product label decides when it's safe to pour, stain, paint or roof.
Follow the instructions of the products and tools you use. If they differ from your Sheet, follow the product instructions.
Local codes govern. Your town's building code, permit rules and inspector have the final say.
You decide whether to do a job yourself, and you are responsible for how you do it. That includes:
getting the permits and inspections your town requires,
using the right protective gear and following tool and product safety instructions,
testing older homes for lead paint and asbestos before you sand, scrape or tear anything out,
contacting your dig-safe service before you dig (811 in the United States; in Canada, your province's one-call service), and
stopping and calling a licensed pro when a job is beyond your skills.
StudSheet is not an emergency service. If you smell gas, see sparking wires, or think a structure may collapse, leave the area and call 911 or your utility.
Some work should only be done by licensed professionals. This includes electrical, plumbing, gas and HVAC work, electrical panels, structural changes and additions. StudSheet does not give DIY instructions for this work. A homeowner who opens one of these Sheets sees what is involved and how to get a quote instead.
Pro Sheets for licensed and structural trades are planning tools for professionals: quantities, costs, permit and inspection checklists and code notes. They are not step-by-step instructions, and they never size beams, headers or other structural members: that is the engineer's call. Code notes summarize published rules in plain words and can be out of date or differ in your town. The licensed pro doing the work is responsible for the design, the code, the permit and the inspection.
Steps marked PRO STEP are steps we think most people should hire out, even when the rest of the job is DIY. Projects marked PRO JOB should be done by a pro. Ignoring these marks is your choice and your risk.
You only need an account to post in the community, sync devices, share loadout logs, send or answer quote requests, take card payments, or join a pro's crew in the app.
You sign in with a one-time code sent to your email. Keep your email account secure. You are responsible for what happens under your account.
One person per account. Don't share your account or sign in as someone else.
Pick a handle that doesn't pretend to be someone else, including StudSheet staff, the StudSheet team account, or a real business. We may change or reclaim handles that break this rule.
You can delete your account at any time in the app (Me → Settings → Delete my account) or at app.studsheet.com/delete-account.
When you join the community you agree to our Community Rules. In short:
We have zero tolerance for objectionable content and abusive users. We remove content that breaks the rules and we remove people who post it.
No harassment, hate, threats, sexual content, or illegal activity.
No street addresses, and no personal contact details posted in public.
No ads, spam or undisclosed self-promotion.
Only verified pros can give safety verdicts.
We use automatic filters, and we review posts that are reported. We aim to act on reports within 24 hours. We may remove content, hold it for review, limit your account, or close it, with or without notice, if we believe you broke these Terms or the Community Rules. You can ask us to review a decision by emailing support@studsheet.com.
There are no private messages in StudSheet. Don't ask other users to contact you outside the app.
"Your content" means posts, comments, photos, votes, logs and anything else you add to StudSheet.
You own your content.
You give us a non-exclusive, royalty-free, worldwide license to host, store, copy (for example, to resize a photo), and display your content inside StudSheet and in StudSheet share links and previews, so the service can work. We will not use your content in advertising without asking you first.
This license ends when you delete the content or your account, except for (a) copies kept for a short time in backups, (b) content we must keep for legal reasons, and (c) totals and statistics that no longer identify you, like the number of people in "the meta" who used a tool.
You promise that you have the right to post your content, that it doesn't break the law or anyone's rights, and that anyone recognizable in your photos agreed to be shown.
Loadout logs you share are combined into "the meta". We count one log per job per person, and we may leave out logs that look fake or earned a reward.
Feedback. If you send us ideas or vote on what to build next, we may use them without paying you. Votes are not a promise that we will build something.
Badges and quests have no cash value. If we ever run a contest with prizes, it will have its own official rules.
Pros who use StudSheet (to plan jobs, send estimates and invoices, take payments, answer quote requests or run a crew) are independent businesses. They are not StudSheet's employees, agents or partners, and we don't supervise their work.
You are responsible for your licenses, registrations, insurance, permits and inspections, and for following the rules of your trade, your town, your state or province, and the tax laws that apply to you.
Your estimates, prices, contracts and advertising are yours. StudSheet doesn't check your prices or scope. Tax presets and contract notes in the app are help, not legal or tax advice. Follow the rules for your trade, which differ by state and province. For example, New Jersey home improvement contractors must show their registration number in their advertising (which can include before/after posts that show your business name) and must use a written contract for jobs over $500.
A verified pro badge means we checked the person's trade license or registration (and proof of insurance) when they applied. It is not a recommendation, a guarantee of their work, or proof that their license or insurance is still active today.
Safety verdicts and rule sign-offs are the pro's opinion based on what you posted. They are not an inspection of your home.
Pros are responsible for their own advice and must follow the rules of their trade. Pros must not use the community to pitch their own business.
In Pro mode you can store your clients' names, phone numbers, emails and addresses, along with job photos, measurements, sketches, notes, estimates, change orders and invoices. If you do, you agree to these rules:
You need your clients' permission. Get it before you store their details or photos in StudSheet, and again before you share them in a client link, a PDF or a social media post. You are responsible for following the privacy laws that apply to you and your clients.
Get written permission before posting photos of a client's home. Crop out house numbers, faces, license plates, mail and personal items. Never post a client's address publicly.
Client links and equipment pages are public to anyone who has the link. Send client links only to people who should see them, and turn them off when the job is done. Equipment pages (the QR labels you put on equipment) never show the client's name or address; put on them only what anyone who scans the label may see.
Exports leave StudSheet. Before/after images, reports and CSV files you send to Instagram, TikTok, WhatsApp, email, your accountant or anywhere else are governed by that service's terms. We can't remove them.
Delete client data when asked. If a client asks you to delete their details, delete them in the app. We can help.
Review requests. If you ask clients for reviews, ask in the same way whatever you expect them to say, don't offer anything in return for a review, and follow the review site's rules and the FTC's rule on consumer reviews.
We store this data for you. We don't contact your clients, use their details for anything else, or share them with anyone. See our Privacy Policy.
We may turn off a client link or an equipment page that breaks these Terms or the law, or that a person shown in it validly asks us to remove. Anyone can report one to support@studsheet.com.
When your account is closed, your client data is deleted and your client links and equipment pages stop working.
If you invite people on your crew to StudSheet, you choose each person's role and what each job shares with them, and you approve or reject the hours, notes, photos and checklist answers they send. A foreman sees every open job the team shares, including clients' names and addresses, and the crew list; a worker sees only the jobs they're on. Give each role only to people you trust with that, and remove people who leave: their access stops right away. You are responsible for your crew: for having their permission to keep their details, for paying them correctly whatever StudSheet shows, and for following employment and workplace laws (including any notice you must give about recording hours or photos). If you're a crew member, use what you see (clients' names, addresses and any phone or email the owner shares) only for the owner's jobs, keep it confidential, and send only true hours and your own photos. The owner, not StudSheet, is responsible for your pay and your work arrangements. Prices, estimates, invoices and pay rates are never shared with crew accounts.
StudSheet is not a party to your deals. An estimate, change order or invoice in StudSheet is between the pro and the client. We don't do the work, set the price, or guarantee payment or results.
Signing on a client link. A client can approve and sign an estimate, or approve or decline a change order, on the client link. By signing, the client agrees to do business electronically and that the typed name or drawn signature counts as their signature for that document. We record the decision, the name, the signature, the time and which version was signed, and show it to the pro. Whether that approval forms a contract, and what the contract must contain (for example New Jersey's written-contract and three-day cancellation rules), is between the pro and the client and the law where the job is.
Payments are between the client and the pro. Invoices show the ways the pro takes payment (for example a payment link, Zelle, Interac e-Transfer or check). Payments made those ways go straight to the pro; StudSheet doesn't handle them.
Card payments through Stripe. When a pro connects a Stripe account, a client can pay an invoice by card on Stripe's own page. The payment goes straight to the pro's Stripe account, and the pro is the seller. StudSheet takes no fee, never holds the money, and isn't a payment processor or a bank. To take card payments, a pro must accept Stripe's terms, including the Stripe Connected Account Agreement ↗, and is responsible for Stripe's fees, refunds, chargebacks and disputes. Refunds and disputes are handled between the client, the pro and Stripe (in the pro's Stripe dashboard), not by StudSheet.
Records. Keep your own copies of signed estimates, invoices and payments (the accountant export helps). If you delete a job or your account, its records in StudSheet are deleted too.
Who gets your request. When you ask for quotes, your request goes to the StudSheet lead board. Only pros who registered in StudSheet and were verified by us (license or registration, and insurance, checked when they applied), and who cover your area and that kind of work, can see it. Electrical, plumbing and HVAC jobs can only be answered by pros verified in that trade.
What pros see. Pros see the job, your Sheet, your town, the ZIP code (in Canada, the first three characters of the postal code), when you'd like it done, and the details you write. Your name and contact go only to the pros who answer, at most 3 per request. You see each answer with the pro's business name and contact. We don't sell your request or send it to anyone else, and your phone number and email are never posted publicly.
Free, no obligation. Asking for quotes is free, and you don't have to hire anyone. Answering requests is free for pros at launch. If that changes, we will say so in the app and in these Terms before it applies.
No pros in your area yet. We tell you before you send. Your request can stay open for 30 days in case a pro joins. Requests close after 30 days, or when you close them.
StudSheet is not the contractor. We don't do home improvement work, recommend a particular pro, or take part in the deal. If you hire a pro, your contract is with that pro, and the pro is responsible for its estimate, work, licenses, permits, insurance and warranties. Before you hire anyone, check their license or registration and insurance yourself: a badge shows what we checked when they applied, not that it is still current.
Rules for pros who answer. Use a homeowner's name and contact only to answer that request. Don't add them to a mailing list, sell or share them, or contact them after they say no. Answer honestly about your license, insurance and availability. We may remove a pro from the lead board, or take away their badge, for breaking these rules.
Your rights where the job is. Home improvement contracts have their own rules in many places. For example, for home improvement jobs over $500, New Jersey requires a written contract signed by you and the contractor. Among other things, it must include:
the contractor's legal name, business address and registration number,
start and completion dates,
a description of the work and the main products and materials,
the total price,
proof that the contractor carries at least $500,000 in commercial general liability insurance, and
a notice that you may cancel the contract before midnight of the third business day after you receive a copy of it.
Ask for the registration number and certificate of insurance before you sign. You can check a contractor's registration with the New Jersey Division of Consumer Affairs at njconsumeraffairs.gov ↗. In other states and in the provinces, check your consumer protection office.
The partner crew is off. StudSheet can also send quote requests to one partner crew, a business owned by members of the founder's family. That option is turned off. If we ever turn it on, the quote form will name the crew, show its registration number and the family connection before you send, crew members will have to disclose the connection when they post, and we will update these Terms first.
We respect copyright. If you believe content on StudSheet infringes your copyright, send a notice to our designated agent:
Designated agent: [Name], [StudSheet LLC] [Mailing address] [Phone number] support@studsheet.com (subject: "DMCA notice") U.S. Copyright Office registration: [DMCA agent registration number]
Your notice must include:
your physical or electronic signature,
the copyrighted work you believe was infringed,
the material you want removed, with a link or enough detail for us to find it,
your name, address, phone number and email,
a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent, or the law, and
a statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner.
Counter-notice. If we removed your content and you believe it was a mistake, send our agent a counter-notice with: your signature; the removed material and where it appeared; a statement under penalty of perjury that you believe in good faith it was removed by mistake or misidentification; and your name, address and phone number, with a statement that you consent to the jurisdiction of the federal court for your district (or, if you live outside the U.S., any district where we can be found) and will accept service from the person who sent the notice. We may restore the content in 10 to 14 business days unless that person tells us they have filed a court action.
Repeat infringers. We close the accounts of people who repeatedly infringe.
If someone posts an intimate photo or video of you without your consent, including a fake made with editing software or AI, we will remove it.
How to ask. Use Report → "Intimate image of me" on the post, or email support@studsheet.com with the subject "Intimate image removal". You don't need an account. Please include:
your physical or electronic signature (typing your full name is fine),
a link to the image or post, or enough detail for us to find it,
a short statement that you believe in good faith the image was shared without your consent, with any details that help us check, and
how we can contact you.
A parent, guardian, or someone you authorize may ask for you.
What we do. We remove the image within 48 hours of a valid request, and we make reasonable efforts to find and remove identical copies. We confirm with you when it's done. Images of minors are reported to the National Center for Missing & Exploited Children.
Addresses and contact details: report the post and we will remove it.
New Jersey Daniel's Law requests: see our Privacy Policy.
Anything else: use Report in the app, or email support@studsheet.com.
Links. Sheets may link to store searches, product pages, or your town's building department. We don't control those sites and aren't responsible for them. Prices and stock are set by the store. If a store link pays us a commission, it is labeled Paid link.
Sponsor cards. The community tab can show one card from a local business or a brand that paid for the spot. Paid cards are labeled Sponsored. Our own card, for IONIAN Digital, the company that makes StudSheet, is labeled From the makers of StudSheet. A sponsor card is not a recommendation or a verified pro badge: check a business yourself before you hire or buy. The sponsor is responsible for its card, its claims and its own website. Cards are picked on your device from the area you set, and never appear on client links, equipment pages or printouts.
Buying a sponsor spot. Businesses can ask about the spot with "Advertise here". A purchase is a separate agreement with us, billed by Stripe invoice. Sponsor cards must be truthful, must not imitate StudSheet, a pro badge or a post, and must show a license or registration number where the law requires it in advertising (for example a New Jersey home improvement contractor's registration number). We may refuse or remove any card.
The tip jar. On the website, "Buy the maker a coffee" lets you send a tip through Stripe's payment page. A tip is a voluntary gift to the makers of StudSheet. It isn't a purchase, doesn't unlock anything, isn't a donation to a charity and isn't tax-deductible. If you tipped by mistake, email us within [30] days and we'll refund it. Stripe's terms apply to the payment.
We may change, add or remove features. Your own data on your device stays yours, and we will never charge you to get it back.
We may update these Terms. If a change is important, we will show a notice in the app and email account holders at least [14] days before it takes effect. If you keep using StudSheet after that, the new Terms apply.
StudSheet is provided "as is" and "as available". To the fullest extent New Jersey law allows, we disclaim all warranties not stated in these Terms, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't promise that StudSheet will always be available, error-free, or that any Sheet, material count or estimate is accurate or complete.
We are not responsible for the work, advice, prices, payments or conduct of pros (verified or not), their crews, clients, homeowners, sponsors, other users, Stripe, or stores. Deals made through StudSheet, including those that start on the lead board or are signed or paid on a client link, are between the people who make them.
To the fullest extent New Jersey law allows:
We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data on your device, or the cost of materials, tools or rework.
Our total liability for any claim about StudSheet is limited to $100.
Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or anything else that New Jersey law does not allow to be limited.
If you post content or use StudSheet in a way that breaks these Terms or the law, and someone makes a claim against us because of it, you are responsible for the reasonable costs of that claim, to the extent New Jersey law allows.
You can stop using StudSheet and delete your account at any time. We may suspend or close accounts that break these Terms or the Community Rules, or when the law requires it. Sections 8 (the license for backups and statistics), 9 and 10 (deals between pros and their clients), and 16 to 21 survive after your account is closed.
New Jersey law governs these Terms, without regard to its conflict-of-law rules. If we can't resolve a dispute informally by email first, it will be decided in the state or federal courts in [County] County, New Jersey. You may also bring a claim in small claims court if it qualifies.
If you live in Canada. The consumer protection laws of your province give you some rights that no contract can take away. For example, if you live in Quebec, the Consumer Protection Act and the Civil Code of Québec let you bring a claim in Quebec and rely on Quebec's consumer protection rules. These Terms don't take away any of those rights, and any part of these Terms that conflicts with them doesn't apply to you. This paragraph is about Canadian law only. It doesn't change these Terms for people in the United States.
If you downloaded StudSheet from Apple's App Store:
These Terms are between you and us, not Apple. Apple is not responsible for StudSheet or its content.
We give you a non-transferable license to use StudSheet on Apple-branded devices you own or control, as allowed by the App Store's Usage Rules (including Family Sharing).
We, not Apple, are responsible for maintenance and support.
If StudSheet fails to meet a warranty that applies, you may tell Apple, and Apple will refund the price you paid (StudSheet is free). Apple has no other warranty obligation for StudSheet.
We, not Apple, are responsible for any claims about StudSheet, including product liability claims, claims that it fails to meet a legal or regulatory requirement, and consumer protection or privacy claims.
If someone claims StudSheet infringes their intellectual property, we, not Apple, are responsible for dealing with that claim.
You confirm that you are not in a country under a U.S. government embargo, and that you are not on a U.S. government list of prohibited or restricted parties.
You must follow any third-party terms that apply when you use StudSheet, such as your mobile carrier's terms.
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
If you downloaded StudSheet from Google Play, Google's terms also apply to your download. Google is not responsible for StudSheet.
These Terms, the Privacy Policy and the Community Rules are the whole agreement between you and us about StudSheet.
If a court finds part of these Terms unenforceable, the rest stays in effect.
If we don't enforce a part of these Terms right away, we can still enforce it later.
We may transfer these Terms if StudSheet is merged or sold. You may not transfer them.
